These Terms and Conditions govern your access to and use of the AsiaWholesale Shop website (asiawholesale.shop), all related services, quotations, orders, and transactions. By accessing the site, requesting a quote, or placing an order, you agree to be bound by these terms. If you do not agree, do not use our services.

1. General Provisions

AsiaWholesale Shop is a B2B wholesale platform operated from Hong Kong. All transactions are business-to-business unless explicitly stated otherwise. These terms apply to all visitors, users, buyers, and partners.

We reserve the right to update these terms at any time. Changes are effective upon posting; continued use constitutes acceptance.

2. Orders, Quotations & Contract Formation

Quotations are valid for the stated period only and are not binding offers. A binding contract forms only upon our written order confirmation or invoice issuance.

Minimum order values and MOQs apply as stated
Prices are in USD/EUR (as quoted), excluding taxes, duties, shipping
We reserve the right to correct pricing/typographical errors

3. Payment Terms

Payment is due as per invoice terms (e.g., 30–60% advance, balance before shipment). Accepted methods: bank transfer (T/T), PayPal, major cards (via secure processor), trade finance.

Late payments incur interest at 1.5% per month
All bank fees borne by buyer
No set-off without our written consent

4. Shipping, Delivery & Risk

Delivery terms follow chosen Incoterms (e.g., EXW, FOB, DDP). Risk of loss passes to buyer per Incoterms. Delivery times are estimates only.

          We are not liable for delays due to customs, force majeure, carrier issues, or buyer delays.
        

5. Title & Retention of Ownership

Title to goods remains with us until full payment is received. Buyer grants us security interest until paid in full.

6. Warranties, Liability & Disclaimers

Goods are sold "as is" except for manufacturer's warranty (if applicable). We disclaim all implied warranties to the fullest extent permitted by law.

Our total liability shall not exceed the order value
No liability for indirect, consequential, lost profits damages
Force majeure events excuse performance

7. Intellectual Property & Use of Site

All content, images, catalogs on the site are our property or licensed. You may not reproduce, modify, or use for commercial purposes without permission.

Site use is for lawful B2B purposes only. No scraping, bots, or unauthorized access.

8. Governing Law & Dispute Resolution

These terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be resolved exclusively in the courts of Hong Kong.

For EU/EEA consumers (if applicable): mandatory local consumer rights apply notwithstanding this clause.
